VFD Group Opens N20bn Commercial Paper Offer as H1 Profit More Than Doubles

VFD Group Plc has opened a fresh N20 billion Commercial Paper (CP) issuance as the investment company seeks additional short-term funding, coming on the back of a sharp improvement in its first-half 2026 earnings.

The offer, which opened on August 28, 2026, is being issued under VFD Group’s existing N50 billion Commercial Paper Programme and will remain open until September 4, 2026.

Proceeds from the issuance are expected to support the group’s short-term working capital and other funding requirements. The commercial paper programme is designed to provide VFD with a flexible avenue for raising short-term financing as part of its asset and liability management strategy.

Two Tenors Available

The N20 billion offer has been divided into two series, giving investors different maturity options.

Series 2(A) has a 270-day tenor, with a discount rate of 18.5498% and an implied annualised yield of 21.50%.

Series 2(B) carries a longer 364-day tenor, with a discount rate of 19.0383% and an implied yield of 23.50%.

Settlement is scheduled for September 7, 2026, while the minimum subscription is N5 million, followed by additional investments in multiples of N1 million.

The notes have received a DataPro A1 short-term rating, providing investors with an independent assessment of the issuer’s short-term credit quality.

Higher Returns Come With Corporate Risk

The yields offered by VFD are above those currently available on comparable government-backed short-term instruments, reflecting the additional risk associated with lending to a corporate issuer.

At the August 26 Treasury Bills auction, the 364-day Nigerian Treasury Bill cleared at a 20.35% stop rate. VFD’s 364-day CP therefore offers a premium of about 3.15 percentage points over the government-backed instrument.

The difference is also visible against recent Central Bank of Nigeria Open Market Operations securities. At the August 27 OMO auction, stop rates were 19.85% for the 96-day instrument and 19.32% for the 152-day instrument, with a weighted average stop rate of 19.4064%.

While government securities benefit from sovereign backing, repayment of a commercial paper depends on the financial strength and liquidity of the issuing company.

What N5m Could Return

Under the structure of the offer, a N5 million face-value investment in the 270-day series would require an upfront payment of approximately N4.31 million.

If held until maturity, the investor would receive the N5 million face value, producing a gross return of about N686,088.

For the 364-day series, an investor would pay approximately N4.05 million upfront for a N5 million face-value instrument and receive about N949,307 in gross return at maturity.

The figures illustrate the premium investors are receiving for accepting VFD Group’s corporate credit risk instead of investing solely in government-backed instruments.

VFD’s Earnings Provide Some Comfort

The commercial paper comes at a time when VFD Group’s financial performance has improved significantly.

For the first half of 2026, the group’s profit after tax more than doubled to N10.1 billion, while gross earnings increased by approximately 30% to N53.7 billion.

The stronger earnings performance suggests that the group’s investment-focused business model generated higher returns during the period.

Its balance sheet also provides an important cushion for short-term creditors.

Shareholders’ funds stood at approximately N124.9 billion, while borrowings were about N133.5 billion, translating to a debt-to-equity ratio of roughly 1.1 times.

The proposed N20 billion CP represents about 16% of shareholders’ funds and less than 4% of total assets, suggesting that the new borrowing would not represent a major increase in leverage relative to the company’s overall balance sheet.

Liquidity Remains a Key Consideration

For investors in commercial paper, profitability is only part of the equation.

The issuer must also have enough liquid resources and assets available to meet its repayment obligations when the paper matures.

VFD’s cash and financial assets provide coverage of more than nine times the proposed N20 billion issuance, according to the analysis accompanying the offer.

However, the company’s financing costs remain an area to monitor.

Operating profit currently covers finance costs by approximately 1.5 times, indicating that VFD can meet its financing obligations but does not have an exceptionally large earnings cushion.

That makes the company’s ability to continue growing investment returns while controlling funding costs important to its credit position.

Investors Weigh Yield Against Risk

The new issuance gives investors access to yields above recent Treasury Bill and OMO rates, but the higher return is compensation for taking on the credit risk of a corporate issuer.

VFD’s stronger H1 earnings, sizeable investment portfolio and capital position provide positive signals, while its financing costs and debt obligations remain factors investors must continue to monitor.

For VFD Group, the issuance provides another channel for meeting short-term funding needs without relying exclusively on conventional bank borrowing.

For the broader Nigerian money market, the transaction also highlights the continued appeal of commercial paper as companies seek flexible funding while investors search for higher-yielding short-term opportunities.

The offer closes on September 4, 2026, with settlement scheduled for September 7.
